一般货物进口合同(英文版) cntract n: date: the buyer: the ntract, made ut, in chinese and english, bth versin being equally authentic, by and between the seller and the buyer whereby the seller agrees t sell and the buyer agrees t buy the undermentined gds subject t terms and cnditins set frth hereinafter as fllws: 1 name f cmmdity and speciuntry f rigin manufacturer 3 unit price (packing charges included) 4 quantity 5 ttal value 6 packing (seawrthy) 7 insurance (t be cvered by the buyer unless therwise) 8 time f shipment 9 prt f lading 10 prt f destinatin mark shwn as belw in additin t the prt f destinatin, package number, grss and net weights, measurements and ther marks as the buyer may require stencilled r marked cnspicuusly with fast and unfailing pigments n each package. in the case f dangerus and/r pisnus carg(es), the seller is bliged t take care t ensure that the nature and the generally adpted symbl shall be marked cnspicuusly n each package.. 12 tenth prir t the time f shipment the buyer shall pen with thebank f an irrevcable letter f credit in favur f the seller payable at the issuing bank against presentatin f dcuments as stipulated under clause 18. a. f sectin ii, the terms f delivery f this cntract after departure f the carrying vessel. the said letter f credit shall remain in frce till the 15th day after shipment. 13 ther terms: unless therwise agreed and accepted by the buyer, all ther matters related t this cntract shall be gverned by sectin ii, the terms f delivery which shall frm an integral part f this cntract. any supplementary terms and cnditins that may be attached t this cntract shall autmatically prevail ver the terms and cnditins f this cntract if such supplementary terms and cnditins cme in cnflict with terms and cnditins herein and shall be binding upn bth parties. fr the seller fr the buyer sectin 2 14 fb/fas terms 14.1 the shipping space fr the cntracted gds shall be bked by the buyer r the buyer's shipping agent . 14.2 under fb terms, the seller shall undertake t lad the cntracted gds n bard the vessel nminated by the buyer n any date ntified by the buyer, within the time f shipment as stipulated in clause 8 f this cntract. 14.3 under fas terms, the seller shall undertake t deliver the cntracted gds under the tackle f the vessel nminated by the buyer n any date ntified by the buyer, within the time f shipment as stipulated in clause 8 f this cntract. 14.410-15 days prir t the date f shipment, the buyer shall infrm the seller by cable r tele f the cntract number, name f vessel, eta f vessel, quantity t be laded and the name f shipping agent, s as t enable the seller t cntact the shipping agent direct and arrange the shipment f the gds. the seller shall advise by cable r tele in time the buyer f the result theref. shuld, fr certain reasns, it becme necessary fr the buyer t replace the named vessel with anther ne, r shuld the named vessel arrive at the prt f shipment earlier r later than the date f arrival as previusly ntified t the seller, the buyer r its shipping agent shall advise the seller t this effect in due time. the seller shall als keep in clse cntact with the agent r the buyer. 14.5 shuld the seller fail t lad the gds n bard r t deliver the gds under the tackle f the vessel bked by the buyer. within the time as ntified by the buyer, after its arrival at the prt f shipment the seller shall be fully liable t the buyer and respnsible fr all lsses and epenses such as dead freight, demurrage. cnsequential lsses incurred upn and/r suffered by the buyer. 14.6 shuld the vessel be withdrawn r replaced r delayed eventually r the carg be shut ut etc., and the seller be nt infrmed in gd time t stp delivery f the carg, the calculatin f the lss in strage epenses and insurance premium thus sustained at the lading prt shall be based n the lading date ntified by the agent t the seller (r based n the date f the arrival f the carg at the lading prt in case the carg shuld arrive there later than the ntified lading date). the abvementined lss t be calculated frm the 16th day after epiry f the free strage time at the prt shuld be brne by the buyer with the eceptin f frce majeure. hwever, the seller shall still undertake t lad the carg immediately upn the carrying vessel's arrival at the lading prt at its wn risk and epenses. the payment f the afre-said epenses shall be effected against presentatin f the riginal vuchers after the buyer's verificatin. 15 cf terms 15.1 the seller shall ship the gds within the time as stipulated in clause 8 f this cntract by a direct vessel sailing frm the prt f lading t china prt. transhipment n rute is nt allwed withut the buyer's prir cnsent. the gds shall nt be carried by vessels flying flags f cuntries nt acceptable t the prt authrities f china. 15.2 the carrying vessel chartered by the seller shall be seawrthy and cargwrthy. the seller shall be bliged t act prudently and cnscientiusly when selecting the vessel and the carrier when chart
